Terms of Use

Effective date: July 7, 2026

1. Welcome and acceptance

These Terms of Use (the “Terms”) form a legal agreement between you and Innovation Health Group Inc., operating as Health In A Box™ (“Health In A Box”, “we”, “us”, or “our”).

These Terms govern your use of:

  • the Health In A Box website at healthinabox.com and any related sites or apps we publish (the “Website”);
  • the Health In A Box online store, where you can purchase products, tests, and programs (the “Store”); and
  • the Health In A Box medical service, including blood testing, clinical assessments, naturopathic care, health coaching, and related care delivered through the Website or in person (the “Service”).

We refer to the Website, the Store, and the Service together as “Health In A Box”.

By creating an account, completing a purchase, or otherwise using Health In A Box, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, please do not use Health In A Box.

2. Who can use Health In A Box

You may use the Website if you are at least 16 years old.

You may register for an account, purchase from the Store, or enroll in the Service only if you are:

  • at least 18 years old (or the age of majority in your province or territory, whichever is higher);
  • legally able to enter into a binding contract; and
  • a resident of a Canadian province or territory where our regulated health professionals are licensed to provide care and to which we can ship, at an address where you can receive care and delivery.

The provinces and territories we serve may change over time as we expand. Health In A Box is not currently available to residents of Quebec. We intend to serve Quebec in future and will update these Terms when we do.

When you create an account, you agree to provide accurate, current, and complete information, to keep that information up to date, and to keep your login credentials confidential. You are responsible for everything that happens under your account. Tell us promptly if you believe your account has been accessed without your permission.

If your employer or another organization sponsors your enrollment

Some patients access the Service through an employer, benefits provider, or other organizational partner. If you enroll this way, your participation is voluntary and individual. These Terms govern your individual use, and your care relationship is with Health In A Box, not with your employer or the sponsoring organization. We do not share your individual personal health information with your employer or the sponsoring organization. Any reporting we provide to them is limited to de-identified, aggregate information that does not identify you. See our Privacy Policy for details.

3. About the Service: what it is and what it isn’t

We want you to have honest, clear expectations about the care we provide. Please read this section so you understand what the Service covers and what it does not.

What the Service is. The Service is a defined program of preventive and proactive health care delivered by regulated health professionals and health coaches who work as agents of Innovation Health Group Inc. Depending on the program you choose, it may include ordering and reviewing specific blood and saliva tests, written reports and lifestyle recommendations, follow-up coaching, and messaging with your care team. The Service is focused. We look at the markers that matter for your health, and we help you understand them and act on them.

What the Service is not. The Service is not a replacement for your primary care physician or family doctor. It is not urgent or emergency care. It is not 24/7 medical care. It is not full medical case management, and it is not a complete medical record. We see only the results of the tests we order. Your primary care physician, not Health In A Box, holds your full medical picture.

In an emergency. If you are experiencing a medical emergency, call 911 or go to the nearest emergency department right away. Do not use the Service, secure messaging, or any AI-assisted tool to seek help in an emergency.

Blood draws and sample collection. Some programs require a blood sample, collected at a laboratory, by a mobile phlebotomist, or through an at-home kit. Drawing blood carries common and usually minor risks, including bruising, swelling, lightheadedness, fainting, and, less often, infection or bleeding. A complete sample sometimes requires more than one vial or more than one visit. If you have a bleeding condition, are prone to fainting, or have a fear of needles, please tell the person collecting your sample and speak with your physician before you book. If you feel unwell during or after a draw, tell the collection staff right away.

About your results. We want you to get the most from your results, and we also want you to be prepared for them. Your results may be reassuring, or they may reveal something you did not expect, including information that is significant or difficult to hear. Some findings have limited meaning today but may matter more as science advances. Reviewing your results is a step you cannot undo, so if you have concerns about learning certain information, talk with your care team before you begin. We also encourage you to be thoughtful about how you share your results. We recommend against posting them on social media, and you should know that once you share results with another healthcare provider, they may become part of your medical record and accessible to insurers or other providers, as permitted by law.

Information you give us. The quality of your care depends on the accuracy of what you tell us. You agree to give us accurate and complete information about your health, medications, and history, and to update us when anything changes. Our recommendations are based on what you share and what we test, so gaps or errors in that information can affect them.

How to use our recommendations. The clinical recommendations we provide are advisory. They are meant to inform your decisions and to support, not override, the care you receive elsewhere. We encourage you to discuss our recommendations with your primary care physician, particularly before you change a medication or begin a new treatment.

AI-assisted features. Some parts of the Service may offer an AI-assisted tool. Where it does, that tool works under the oversight of our clinical team. Its content is reviewed or bounded by your care team and is meant to support your care, not replace it. It does not provide standalone medical advice, and it is not a substitute for a conversation with your care team. Because AI-generated content can be incomplete or wrong, you should confirm anything important with your care team before acting on it. When you use an AI-assisted tool, you agree that we and our technology providers may process your questions and inputs to operate, secure, and improve the tool, as described in our Privacy Policy. You agree not to use an AI-assisted tool to seek emergency help, to submit another person’s information without their permission, or for any unlawful, harmful, or abusive purpose. The first time you use an AI-assisted tool, we will ask you to acknowledge a short consent that explains how it works.

Insurance and coverage. Health In A Box is a health service. It is not insurance and not a substitute for insurance. Some extended health benefit plans or health spending accounts may cover part of your care, such as consultations with a naturopathic doctor. Any coverage is a matter between you and your insurer or plan administrator, and we do not guarantee it.

Our care team members are regulated health professionals. The regulated health professionals who deliver the Service are licensed and accountable to their respective regulatory colleges, for example, in Ontario, the College of Physicians and Surgeons of Ontario, the College of Nurses of Ontario, the Ontario College of Pharmacists, and the College of Naturopaths of Ontario. They provide care within their defined scope of practice and to the professional standards those colleges require.

4. Using the Store

Orders. When you place an order, you are making an offer to purchase. We may accept or decline the offer for any reason, including stock availability, pricing errors, payment issues, or eligibility. A contract of sale forms only when we send you an order confirmation.

Pricing and payment. Prices are shown in Canadian dollars unless stated otherwise and may change without notice before you place an order. Applicable taxes will be added at checkout. You authorize us (or our payment processor) to charge your selected payment method for the full order amount, including applicable taxes and shipping. We do not offer subscriptions, and we do not automatically renew or re-bill you. Where you choose a monthly payment plan, that plan is provided by a separate third-party financing provider under its own agreement. Health In A Box is not the lender and is not a party to that agreement.

Test kits and sample collection. Some programs use test kits that you collect yourself at home, fulfilled through a third-party provider. If your program uses self-collection, the accuracy and reliability of your results depend on following the collection and handling instructions we provide. If a sample cannot be processed, we will tell you and arrange a repeat collection where appropriate.

Shipping and risk. Risk of loss for physical products passes to you when the carrier delivers them to the address you provided. Please give us a delivery address where someone can receive the package.

Returns and refunds. Refunds depend on what you purchased, and the details are set out in our Refund and Return Policy at healthinabox.com/refund_returns, which forms part of these Terms.

In summary: unopened supplements can be returned within 30 days; programs can be refunded within 7 days of purchase if your account has not been activated and no materials have been accessed, and become non-refundable once a lab requisition has been issued; and appointments can be cancelled or rescheduled for a full refund or credit up to 24 hours before the appointment time. For health and safety reasons, opened or used supplements and sample-collection kits cannot be returned. Nothing in these Terms or in that policy limits any right you have that cannot be excluded under the Ontario Consumer Protection Act, 2002.

Recalls and safety. If we ever need to contact you about a product safety issue, recall, or test-kit problem, we will do so regardless of your marketing preferences. See Section 9 (Communications) below.

5. Using the Website

You may use the Website to learn about us, browse the Store, manage your account, communicate with your care team, and access content we make available to you.

You agree not to:

  • use Health In A Box for anything illegal or to harm others;
  • impersonate anyone or misrepresent your identity or your relationship with someone else;
  • copy, scrape, harvest, or reuse content from Health In A Box other than for your own personal use;
  • reverse-engineer, decompile, or attempt to derive source code from Health In A Box;
  • interfere with the operation of Health In A Box, attempt to gain unauthorized access, probe for vulnerabilities, or bypass security measures;
  • upload viruses, malware, or anything else that could damage Health In A Box or other users’ devices;
  • use Health In A Box to send spam or unsolicited communications; or
  • use Health In A Box to collect personal information about other users.

If you submit content (for example, a question, photo, or comment), you confirm that you have the right to share it and you give us a non-exclusive, royalty-free, worldwide license to use it for the purpose of operating, improving, and securing Health In A Box. We do not claim ownership of your content.

6. Using the mobile app

We may make Health In A Box available through a mobile or web-based app (the “App”). We grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on a device you own or control, solely to access Health In A Box in line with these Terms. All other terms in these Terms apply to your use of the App.

If you obtain the App through an app store

If you download the App from the Apple App Store or Google Play, the following also apply.

  • These Terms are between you and Innovation Health Group Inc. only, not with Apple Inc. or Google LLC. We, not Apple or Google, are solely responsible for the App and its content.
  • Apple and Google have no obligation to provide maintenance or support for the App.
  • To the extent required by the applicable app store, and subject to Section 14 (Limitation of liability), any claim that the App fails to conform to a warranty may be directed to that store, which may refund the purchase price, if any. Beyond that, and to the maximum extent permitted by law, the store has no other warranty obligation for the App.
  • We, not Apple or Google, are responsible for addressing any claim relating to the App, including product liability, any failure to meet a legal or regulatory requirement, and claims under consumer protection law, subject to these Terms.
  • We, not Apple or Google, are responsible for investigating and resolving any third-party claim that the App infringes that third party’s intellectual property rights.
  • You represent that you are not located in a country subject to a government embargo or designated as supporting terrorism, and that you are not on any government list of prohibited or restricted parties.
  • Apple, Google, and their subsidiaries are third-party beneficiaries of these Terms as they apply to an App obtained through their stores, and may enforce these Terms against you as they relate to that App.

7. Third-party services and products

To deliver Health In A Box, we work with third parties. These include laboratories that analyze your samples, a provider that fulfils and ships test kits, a financing provider for monthly payment plans, and providers of wearable or other connected health devices and related hardware or accessories. We may also link to third-party content or let you connect a device or app you already use.

These third parties are independent. Their products and services are governed by their own terms and privacy policies, and we encourage you to review them. Except as required by law, we are not responsible for the acts, omissions, products, or content of third parties, including the technical accuracy of a laboratory’s analysis, the performance of a wearable or connected device, the terms of a financing provider, or the availability of a shipping provider.

For clarity, this section does not limit our responsibility for the care our own regulated health professionals provide. We stand behind that care as set out in these Terms. What we do not take on is responsibility for the independent conduct of third parties.

If you connect a wearable or other device to Health In A Box, you are responsible for that device and its accuracy, and you authorize us to receive and use the information it shares in order to provide your care, as described in our Privacy Policy.

8. Privacy and your information

We handle your personal information, including your personal health information, in accordance with our Privacy Policy, which forms part of these Terms. Among other things, the Privacy Policy explains:

  • that Innovation Health Group Inc. is the Health Information Custodian under PHIPA;
  • that personal health information is stored on Canadian servers;
  • the laws we comply with (PIPEDA, PHIPA, Quebec’s Law 25, and other applicable Canadian privacy law);
  • your rights of access, correction, withdrawal of consent, and complaint;
  • where your enrollment is sponsored by an employer or other organization, that we share only de-identified, aggregate information with that organization and never your individual personal health information;
  • how to contact our Privacy Officer; and
  • how we handle privacy breach notification.

9. Communications you will receive

There are three categories of messages we may send you. They are treated differently under these Terms and under Canada’s Anti-Spam Legislation (CASL).

  1. Operational messages, required while your account is active. These are messages we need to send to operate Health In A Box and the Store. They include order confirmations, shipping notices, payment receipts, account and security notices, refund notices, changes to these Terms or the Privacy Policy, and product safety or recall notices.

You cannot opt out of operational messages while your account is active. If you do not want to receive them, please close your account.

  1. Clinical messages, required while you are enrolled in the Service. These are messages from or about your care, including test results, clinical recommendations, follow-up reminders, appointment confirmations, medication or supplement guidance, safety information about the Service, and other information your care team needs to give you.

You cannot opt out of clinical messages while you are enrolled in the Service. We have a professional and legal duty to communicate this information to you. If you do not want to receive clinical messages, you must cancel your enrollment in the Service.

  1. Marketing messages, opt-in, and you can opt out any time. These are messages about new programs, products, events, promotions, surveys, and similar content. We will only send marketing messages if you have given express consent (for example, by checking a marketing-consent box at signup). You can withdraw that consent at any time by clicking the unsubscribe link in any marketing email, by changing your preferences in your account, or by contacting us.

Withdrawing consent to marketing messages does not affect operational or clinical messages and does not affect the Service you are receiving.

Channels. Operational, clinical, and marketing messages may be delivered by email, SMS, in-app notification, push notification, or postal mail, depending on what makes sense and what you have set up in your account.

Security of electronic messages. Email, SMS, and similar electronic messages are convenient but are not fully secure, and there is a chance that someone other than you could intercept or view them, for example someone with access to your device, your email account, or your network. By using Health In A Box and giving us your contact details, you accept this risk for routine communications. Where we need to send sensitive clinical information, we will use secure channels such as your account or secure messaging. Tell us if you would prefer that we limit how we contact you.

Text messages. If you sign up to receive text messages from us, you can reply STOP at any time to cancel and HELP for help. Message and data rates may apply, and message frequency varies. Cancelling text messages does not remove clinical or operational messages that we send by other means while your account is active or you are enrolled in the Service.

10. Intellectual property

Health In A Box, including its content, software, design, branding, and trademarks, is owned by Innovation Health Group Inc. or our licensors and is protected by copyright and other intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable license to use Health In A Box as set out in these Terms.

Nothing in these Terms transfers any intellectual property rights to you. All rights not expressly granted are reserved.

11. Suspending or ending your access

By you. You can stop using Health In A Box at any time. To close your account or cancel a Service program, contact us at the address in Section 16, or use the cancellation tools in your account.

By us. We may suspend or end your access to all or part of Health In A Box if:

  • you breach these Terms or any policies we publish;
  • you provide information we reasonably believe is false or misleading;
  • continuing to provide the Service would not be clinically appropriate or safe;
  • we are required to do so by law or by a regulator; or
  • we discontinue Health In A Box or a part of it.

Where it is reasonable and lawful to do so, we will give you advance notice and an opportunity to address the issue. After your access ends, we will retain and dispose of your records as required by Ontario healthcare regulations and our Privacy Policy.

12. Service availability and changes

We work hard to keep Health In A Box available, but we do not guarantee that it will be available without interruption. We may need to take it offline for maintenance, updates, or reasons beyond our control. We may also add, change, or remove features from time to time. Where a change materially affects you, we will give you reasonable notice.

13. Disclaimers

We stand behind the care we provide. This section explains what we promise and what we do not.

The Service. We provide the medical care described in these Terms to the professional standard required of regulated health professionals, and we stand behind that standard. These professionals deliver care within their defined scope of practice and are accountable to their professional colleges. Nothing in these Terms reduces, waives, or disclaims that professional standard of care. Nothing here should be read to suggest that the Service is informational only or not intended for real patient care. It is real care, delivered by regulated professionals.

The Website and the Store. We work to keep the Website and the Store accurate, secure, and available, but we provide them on an “as is” and “as available” basis, to the fullest extent the law allows. Apart from the professional standard of care described above and any rights you have under consumer protection law, we do not make warranties about the Website or the Store, including implied warranties of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation.

Health outcomes. We do not promise or guarantee any specific health result. Your results depend on many factors outside our control, including your individual biology, the accuracy of the information you give us, and the choices you make. We commit to the quality of our care, not to a particular outcome.

Third-party content. The Website may include links, articles, or other content from third parties. We provide this as general information only. We do not control it, we do not endorse it, and it is not a substitute for the care your care team provides.

Your consumer rights. Nothing in this section limits or excludes any right or remedy you have that cannot lawfully be limited or excluded under the Ontario Consumer Protection Act, 2002 or other applicable consumer protection law. Where any part of this section conflicts with those rights, those rights prevail.

14. Limitation of liability

This section sets limits on our liability for some things and expressly preserves it for others. Please read it carefully.

What we do not limit. Nothing in these Terms limits or excludes:

  • our liability for the professional standard of care in the regulated health services we provide, to the extent that liability cannot lawfully be limited under Ontario law or the rules of the applicable regulatory colleges;
  • our liability for fraud, gross negligence, or willful misconduct;
  • our liability for bodily injury or death caused by negligence; or
  • any right or remedy you have that cannot be waived or excluded under the Ontario Consumer Protection Act, 2002 or other applicable consumer protection law.

Where any part of this section conflicts with the protections above, those protections prevail.

The cap on other liability. Subject to the ‘What we do not limit’ paragraph above, our total aggregate liability to you for all claims relating to the Website, the Store, or your use of Health In A Box, whether in contract, tort, or otherwise, is limited to the greater of the amount you paid for the product, order, or program that gave rise to the claim, or CAD $1,000.

Damages we exclude. Subject to the “What we do not limit” paragraph above, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost goodwill, even if we have been advised that such damages are possible.

Allocation of risk. These limits reflect a reasonable allocation of risk between you and us and are a basis on which we provide Health In A Box at the prices we charge. They apply to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless Innovation Health Group Inc. and its directors, officers, employees, contractors, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of:

  • your breach of these Terms;
  • your misuse of Health In A Box; or
  • your violation of any law or of any third party’s rights.

This obligation does not apply to the extent the claim arises from our own negligence or wrongdoing.

17. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

Any dispute arising out of or in connection with these Terms, the Website, the Store, or the Service will be resolved exclusively by the courts located in Toronto, Ontario, and you and we each consent to the personal jurisdiction of those courts. Nothing in this section prevents either of us from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary.

18. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will give you reasonable advance notice, for example by email, in-app notice, or a banner on the Website, before the change takes effect. Continuing to use Health In A Box after the effective date of the updated Terms means you accept the changes. If you do not accept them, you should stop using Health In A Box and may cancel your account.

We will keep prior versions available on request.

19. General

Entire agreement. These Terms, together with the Privacy Policy and any other policies we publish on the Website (such as the refund and return policy), are the entire agreement between you and us about Health In A Box and replace any prior agreements on the same subject.

Survival. Any provision of these Terms that by its nature should continue after your access ends will survive, including the sections on privacy, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and this General section.

Severability. If a court finds any part of these Terms unenforceable, the rest of these Terms continue in effect.

No waiver. Our failure to enforce a right under these Terms is not a waiver of that right.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or to a successor in connection with a corporate reorganization, merger, or sale of assets.

No third-party beneficiaries. These Terms do not give rights to anyone other than you and us, except as expressly stated, including the app store provisions in Section 6.

Force majeure. Neither party is liable for delays or failures caused by events outside its reasonable control (for example, natural disasters, public health emergencies, labour disputes, civil unrest, network failures, or government action).

Headings. Section headings are for convenience only and do not affect interpretation.

Language. These Terms are written in English. If we publish them in any other language, the English version controls in case of conflict, except where local law requires otherwise.
